Overview

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and 402x governing your use of our websites, applications, products, and services (collectively, the "Services"). If you do not agree to these Terms, do not access or use the Services.

Supplemental terms may apply to certain features or offerings and are incorporated by reference. In the event of a conflict, the supplemental terms will control for that feature or offering.

Acceptance of Terms

• By accessing or using the Services, you affirm that you are of legal age to form a binding contract and have the authority to bind any entity you represent.
• Your use of the Services is also subject to our Privacy Notice, which explains how we collect and use your information.
• We may update these Terms from time to time. Material changes will be notified via the Services or email. Continued use after changes become effective constitutes acceptance.

Subscriptions and Billing

• Billing Authorization: You authorize us and our payment processors to charge your payment method for applicable fees and taxes.
• Auto‑Renewal: Subscriptions renew automatically unless canceled before the end of the current term.
• Refunds: Unless stated otherwise, fees are non‑refundable. Your statutory rights are not affected.
• Taxes: Fees are exclusive of taxes, which will be charged as required by law.
• Upgrades/Downgrades: Changes to your plan may take effect immediately or at the next billing cycle, as indicated.

User Content and Conduct

You retain ownership of content you submit, post, or otherwise make available through the Services ("User Content"). By providing User Content, you grant us a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, modify, and display such content as necessary to operate, improve, and provide the Services.

• You represent that you have all rights necessary to grant the above license and that your User Content does not infringe any third‑party rights.
• We may, but are not obligated to, monitor or remove User Content that violates these Terms or applicable law.

The Services, including all software, designs, text, graphics, and other materials, are owned by or licensed to 402x and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works based on the Services.

Feedback. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty‑free license to use them without restriction or compensation.

Prohibited Uses

• Violating any applicable law or regulation.
• Infringing or misappropriating intellectual property or other rights.
• Uploading or transmitting viruses, malware, or harmful code; attempting to bypass security or rate limits.
• Scraping or reverse engineering the Services except as permitted by law.
• Using the Services to develop competing products in violation of these Terms.
• Harassing, abusing, or harming others; sharing content that is unlawful, defamatory, or obscene.

Third‑Party Links and Services

The Services may contain links to or integrations with third‑party services. We do not control and are not responsible for third‑party content, policies, or practices. Your use of third‑party services is at your own risk and subject to their terms.

Warranties and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL 402x OR ITS AFFILIATES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO 402x IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless 402x and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your User Content, or your misuse of the Services.

Governing Law and Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles. Any disputes will be resolved in the courts located in San Francisco County, California, unless applicable law provides otherwise.

Where permitted, you and 402x waive the right to a jury trial and agree to bring claims only in your individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.

Changes to the Services and Terms

We may modify or discontinue all or part of the Services at any time. We may also update these Terms from time to time. When we make material changes, we will provide notice by posting the updated Terms and updating the "Last updated" date above or by sending you a communication.

Termination

We may suspend or terminate your access to the Services immediately if you violate these Terms or if your use poses a risk to others or to the operation of the Services. Upon termination, your right to use the Services ceases immediately, but certain provisions (including ownership, warranty disclaimers, limitations of liability, and indemnity) will survive.
